According to Chapter 156c -12 the Massachusetts articles of organization (Certificate of Organization) serve as the application for the Secretary of State for individuals who want to create an LLC. Complete the desired form on paper or online with the attached fee and file with the Commonwealth where it will be processed and sent back to the applicant within 7 to 10 business days.

How to File

• Option 1 – *Apply Online – This is the fastest and easiest way to get an LLC in Massachusetts.
  • *Only for domestic limited liability companies

• Option 2 – Printable Forms – An applicant may file the traditional way by completing the physical form by selecting the one below that best fits the situation:
  • Certificate of Organization (Most Common) – For all standard businesses that will be located inside the State.
  • Professional Certificate of Organization – For professional entities such as medical or attorney offices.
  • Foreign – For all companies located outside the State.
  • Foreign Professional – For all professional companies located outside the State

  • Standard Mail – Attach the $500 fee and sending to:

  • Fax – Create a fax voucher sheet and send with the Certificate of Authority to 1(617) 624-3891.

The applicant will get their approved LLC in the mail between ten (10) and fifteen (15) business days.

Tips

• EIN Number (SS-4) – In order to register a bank account in the USA, an employment Identification Number must be applied for at the IRS website.
• Operating Agreement – A legal form designed to protect members in an LLC. Allows for the owners to delegate how money and profits will be disbursed as well as ownership interest.
