Use the articles of organization provided or file online to form an LLC in Virginia. The form must be submitted electronically or mailed to the Secretary of State along with the $100 filing fee.

How to File

Option 1 – Apply Online This option is only valid for domestic entities (most LLC’s that are filed are domestic meaning that their principal office address will be in Virginia). If you have never used the Secretary of State’s online filing system you will need to create an account.

  • Pay the $100 fee at the end of the session.

Option 2 – Printable Application – Complete the form below that best fits the company you are trying to create:

  • Domestic (Most Common) – Standard company located within the State.
  • Professional – For an LLC that is involved in a profession that requires special State licensing such as a law or medical office.
  • Foreign – Companies located outside of Virginia.

Attach the $100 filing fee and send to the following address:

Tips

  • Apply for an EIN – Also known as the Taxpayer Identification Number, allows an LLC to open bank account, apply for credit cards, and conduct normal business activity. It must be applied for from the Internal Revenue Service and can be completed online or through the paper form.
  • Operating Agreement – This form allows an LLC to protect itself from outside parties trying to dispute it’s entity status and members from themselves. If there is more than one (1) owner in the company, this agreement will detail the ownership, caiptal investment, and payout structure for monies received.
