How to File

  • Option 1 – Apply Online Rhode Island has an online service to form an LLC. Go to the link provided and fill in the blanks which should take about 10 to 15 minutes to complete. At the end of the session you be instructed to pay the filing fee of $150.
  • Option 2 – Complete Form – Download and complete the physical application that best suits your needs;
    • Domestic (Form 400) – As per Statute 7-16-6 and the most common type, for all companies that will be located within the State.
    • Foreign (Form 450) – As per Statute 7-16-49 for all companies located outside the State.

Attach the fee of $150 made payable to the Rhode Island Secretary of State and send with the completed document to:

Tips

  • Employer Identification Number (EIN) – This is a number provided by the Internal Revenue Service (IRS) that is necessary when obtaining a bank account or credit card on behalf of the formed company. A user may apply online or via the physical application.
  • Operating Agreement – This form works in two (2) ways; (1) – It allows LLC’s with more than one owner to be able to come to an agreement over how much each person owns in the company among other details. (2) – It allows a single member LLC to help better their business status by providing terms and conditions of the purpose of the company to further it’s case as a separate entity for legal matters.
