The Hawaii articles of organization allows a person to start an LLC by either filling out the physical form or filing online. The fee is $50 and all filings and payments must be submitted to the Department of Commerce and Consumer Affairs.

• Search Business Names – Use the public database to view all entity names to make sure that the one you select has not already been taken. Duplicate entity names are not allowed and your application will be rejected.

How to File

Step 1 – Download and complete one of the following Hawaii LLC articles of organization documents.

• Domestic Form (LLC-1) – File Online – For all new companies that will be located inside the State

• Foreign Form (FLLC-1) –  File Online – For all existing companies that are located outside the State

*Proceed to Steps 2 & 3 only if you are filing through the mail. Otherwise you will be asked to pay the $50 filing fee online.

*Step 2 – Attach a check for $50 payable to the Department of Commerce and Consumer Affairs.

*Step 3 – Mail the check and completed document and check to the following address:

Tips

• Apply for an Employer Identification Number from the Internal Revenue Service that allows you to be able to create a bank account for the entity.
• Complete an operating agreement that will protect you whether you are in a single member or multi member LLC.
