The New Hampshire articles of organization, also referred to as a ‘Certificate of Formation’, serves as an application for registering an LLC. The form must be completed and a fee ($100) attached and send to the Secretary of State’s office.

How to File

Step 1 – Complete the form – Fill in every field of the articles of organization and be sure to read the instructions on the first page of what not to do to get rejected.

  • Domestic (LLC-1) – For any standard company that will be located within the State
  • Domestic Professional (PLLC-1) – For any new professional company as described in Statute 304-D-1 that will be located within the State
  • Foreign (FLLC-1) – For any standard company located outside the State seeking to conduct business in New Hampshire.
  • Foreign Professional (FPLLC-1) – For any professional company as described in Statute 304-D-1 located outside the State

Step 2 – Filing Fee – Attach fee – Attach the fee of $100 should be payable to the New Hampshire Secretary of State.

Step 3 – Send – The applicant will want to gather both the completed form and fee and send to:

  • Corporation Division, Department of State, 107 North Main Street, Concord NH 03301-4989 

Tips

  • Apply for an EIN – An Employment Identification Number must be applied for in order to get a bank account. You can apply with the paper version or obtain online.
  • Operating Agreement – Highly recommended if you have partners or other owners in your LLC. This form will outline the ownership details as well as how money will be disbursed.
