In pursuant to the Limited Liability Company Act (Statute Chapter 53 Article 19) a resident may download and complete the New Mexico articles of organization in order to create a new company. An applicant must attach the filing fee and send to the Secretary of State’s office.

- Check Company Name – It is always recommended to check the name availability to ensure it has not been previously registered.
How to File
Step 1 – Print Form – Complete the articles of organization either on your computer or fill in after printing. Make sure to fill out the attached ‘Statement of Acceptance of Appointment by Designated Initial Registered Agent’.
- Domestic – For any new limited liability company that will be located inside the State
- Foreign – For any existing limited liability company that is located outside the State
Step 2 – Pay Fee – A check will need to be written payable to the New Mexico Secretary of State. The filing fee is $50 for domestic and $100 for foreign entities.
Step 3 – Send – Send the fee and forms to the following address:

Tips
- As with any new LLC formed it is recommended that an operating agreement be drafted. This sets out the parameters for the ownership details if there are partners and helps prove the business status of a sole proprietor.
- Apply for an EIN number if the LLC will be registering a bank account in the near future. This is a free number provided by the Internal Revenue Service (IRS) that is required when creating a bank account or conducting financial activity.
