Download and complete one of the North Carolina articles of incorporation forms which allows a domestic, foreign, non-profit, professional or profit corporation be registered (As per State Statute 55-2-02). Send all forms and applicable fees to the Secretary of State in the standard mail. There is no online filing.

• Check Name Availability – Before filing for a new entity, it is always a good idea to check with the database to make sure the name you select has not been registered.

How to File

Step 1 – Fill-in – Complete the form that best fits what you are trying to create

• Domestic Profit (Most Common) – A typical business that is going to be located with a principal place of business within the State.
• Foreign Profit – Business located outside the State
• Domestic Non-Profit – A non-profit business going to be located within the State.
• Foreign Non-Profit – A non-profit business located outside the State.
• Domestic Professional – A corporation that will be located within the State that seeks specific licensing such as a medical or attorney’s office. See full list of professional types (State Statute 55B-2).
• Foreign Professional – Professional corporation already in existence that is located outside the State.

Step 2 – Filing Fee – An applicant must pay the filing fee that is associated with the type of form he or she will be filing:

• Domestic Profit (Most Common) – $125
• Foreign Profit – $250
• Domestic Non-Profit – $60
• Foreign Non-Profit – $125
• Domestic Professional – $125
• Foreign Professional – $250

All fees must be made payable to the North Carolina Secretary of State.

Step 3 – Mail – Gather the completed document along with the filing fee and send to:

Tips

• Apply for an EIN – If you are going to be setting up a bank account for this entity, it is a good idea to get a tax ID number from the IRS. It is free and takes about ten (10) minutes if you apply online.
